These Terms of Service (the “Terms”) govern your use of ICOLI.com and the modeling tools hosted on it (together, the “site”). The site is provided by Wrightwood Advisory (“Wrightwood,” “we,” “us,” or “our”) as a resource for insurance companies and their advisors evaluating insurance company owned life insurance (“ICOLI”).

By using the site, you agree to these Terms. When you request access to the tools or sign in to an account, you confirm that agreement expressly. If you do not agree, do not use the site.

Because this site exists for professional use, “you” means both you personally and, where you use the site in the course of your work, the company or firm on whose behalf you act. If you use the site for an organization, you represent that you are authorized to accept these Terms on its behalf.

These Terms govern the website and its tools only. If you engage Wrightwood as an advisor or broker, that relationship is governed by its own written agreement and disclosures, which control over these Terms for the services they cover.

The Short Version

  • The site and its tools are informational, currently free, and intended for insurance company decision-makers and the advisors who serve them.
  • Everything the tools produce is a projection for preliminary comparison and discussion. Nothing on this site is an offer of insurance, a carrier quote, or investment, tax, legal, accounting, or actuarial advice.
  • Using the site does not make you a client of Wrightwood. Advisory and brokerage relationships are formed only by separate written agreement.
  • You are responsible for what you enter into the tools — including having the right to share any employee census data — and for confirming any output with the issuing carrier and your own advisors before acting on it.
  • We may decline, suspend, or withdraw access to the tools, the site is provided as is, and our liability is limited as described below.

Who May Use This Site

The site is intended for insurance company professionals — executives, finance, tax, treasury, and investment personnel — and the advisors, consultants, and other professionals who serve them. It is published for residents of the United States only, it is not directed to consumers, and you must be at least 18 years old to use it.

You may use the site only for lawful business purposes connected with evaluating ICOLI and related employee benefit funding questions.

Accounts and Access

The public pages of the site are available without an account. The modeling tools require one.

Requesting access. Access to the tools is currently free of charge and is granted at our discretion. When you request access, you must provide your real name and an email address you control, and you must not misrepresent your identity, your employer, or your role. A new account is pending until one of our administrators activates it, and we may approve, decline, or later disable any account for any reason, including that the request does not appear to come from the site’s intended professional audience.

Passwordless sign-in. There are no passwords on this site. We sign you in by emailing a single-use link to your account’s email address. That means anyone who can read your email can use your account: you are responsible for keeping that mailbox secure, for signing out of shared devices, and for telling us promptly at the address below if you lose control of the email account or notice activity you did not authorize.

Your account is yours alone. Do not forward sign-in links, let others work under your account, or use an account to give the tools to someone we have not approved. Each user needs their own account.

The Tools Produce Projections, Not Offers

The illustration tool generates side-by-side carrier comparisons from carrier-issued illustration data calibrated to specific test cases. The capital and tax tools model how an ICOLI allocation could affect risk-based capital and after-tax income based on the assumptions you supply. This section states what those outputs are and, more importantly, what they are not.

Every figure the tools produce is a projection. Outputs are hypothetical, are generated from calibration data and modeling assumptions, and are provided for preliminary comparison and discussion only. No output is:

  • an offer of insurance, or a solicitation, quote, rate, or binding indication of any carrier’s pricing or willingness to quote;
  • a promise or prediction of policy performance, crediting rates, cash values, death benefits, tax treatment, or capital treatment;
  • a recommendation of any carrier, product, or course of action; or
  • a substitute for a formal illustration issued by a carrier.

Actual carrier offers depend on full underwriting, current carrier pricing, case characteristics, and other factors the tools do not model. Calibration data also ages: it reflects carrier illustrations as of the time they were collected and may not reflect any carrier’s current pricing or product lineup. Where a tool ships with editable placeholder figures — for example, risk-based capital factors and yields — those placeholders are not any carrier’s statutory data, and the output is only as reliable as the figures you substitute for them.

Confirm before you rely. Verify every figure with the issuing carrier, and review any contemplated transaction with your own actuarial, accounting, tax, and legal advisors, before making any decision.

No Advice; No Client Relationship

The content and tools on this site are educational. They are general in nature, are not tailored to your circumstances, and do not constitute investment, tax, legal, accounting, or actuarial advice. Decisions about ICOLI raise statutory accounting, tax, insurable interest, and regulatory questions that depend on your facts; resolve them with your own professional advisors.

Using the site — browsing it, requesting access, running or saving scenarios, exporting output, or corresponding with us through the contact form — does not make you a client of Wrightwood and does not create an advisory, brokerage, or fiduciary relationship. Those relationships are formed only through a separate written agreement.

Securities and investment advisory services are offered through Integrity Alliance, LLC, Member SIPC, as described in the disclosures in the site footer. Representatives may only conduct business with residents of the states and jurisdictions in which they are properly registered, and not all services referenced on this site are available in every state or through every advisor.

Nothing on this site is an offer to sell, or a solicitation of an offer to buy, any security, insurance product, or other financial product.

Information You Enter Into the Tools

You own the information you enter into the site — assumptions, census data, scenario names, and client labels. So that the site can work, you grant us a non-exclusive, royalty-free license to host, process, store, and display that information in order to run the tools, save and reload the scenarios you choose to save, operate and secure the site, and meet our recordkeeping obligations. The license lasts for as long as we hold the information under our Privacy Policy, which describes exactly what is collected and kept — including how census files are parsed in your browser and what a saved scenario stores.

Census data. A census describes other people, typically your employees. By uploading, pasting, or saving one, you represent that you are authorized to provide that information to us for modeling, and that doing so is consistent with your own privacy obligations and with any notice or consent your employees are owed. If you prefer not to transmit individual-level data, use summary mode, or run an illustration without saving the scenario.

Accuracy. The tools compute from what you give them. You are responsible for the accuracy and completeness of your inputs, and you understand that inaccurate inputs produce unreliable output.

Enter only what is asked for. Provide only the information the tools request. Do not enter Social Security numbers, medical information, or other sensitive personal data anywhere on this site.

Acceptable Use

You agree not to:

  • misrepresent your identity, employer, role, or authority, including when requesting access;
  • share sign-in links or account access, or otherwise circumvent the access-approval process;
  • scrape, harvest, or bulk-extract content, illustration data, or calibration data from the site, or access it by automated means other than ordinary browsing and search-engine indexing;
  • reverse engineer the tools or attempt to reconstruct the underlying carrier illustration datasets or calibration models from their outputs;
  • use the site or its outputs to build, train, or improve a competing product, dataset, or service;
  • present tool output as a carrier quote or offer, or remove or obscure its disclaimers when sharing it;
  • probe, scan, or test the vulnerability of the site, interfere with its operation, or introduce malicious code;
  • upload information you do not have the right to share; or
  • use the site in violation of any law or regulation.

We may investigate suspected violations and may suspend or terminate access while we do.

Intellectual Property

The site — its text, design, graphics, and code, and the models, engines, and calibrated illustration data behind the tools — belongs to Wrightwood or its licensors and is protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the site for your internal business purpose of evaluating ICOLI. All rights not expressly granted are reserved.

Using Tool Output

You may export, print, and share the output you generate within your organization and with the professional advisors assisting your evaluation, provided the disclaimers that accompany it stay attached. Do not publish output publicly or distribute it commercially without our written consent. The models and data that produced the output remain ours.

Names and Marks

“Wrightwood Advisory,” the ICOLI.com wordmark, and the site’s logos are our marks, and these Terms grant you no right to use them. Carrier names appearing in comparisons are the trademarks of their owners; their appearance means their illustration data was used for calibration, not that any carrier sponsors, endorses, or is affiliated with this site.

Feedback

If you send us suggestions or feedback about the site, we may use them without restriction or obligation to you.

Third-Party Sites and Services

The site links to resources we do not control, including our scheduling page hosted by Calendly, our LinkedIn page, regulatory resources such as Form CRS and FINRA’s BrokerCheck, and documents published by carriers, regulators, and other firms. Those resources are governed by their own terms and privacy policies. We are not responsible for them, and linking to them is not an endorsement.

Privacy

Our Privacy Policy explains what information this site collects and how it is handled — including the contact form, passwordless accounts, and the treatment of census data and saved scenarios. It is part of how we provide the site, and it is worth reading before you use the tools.

Availability and Changes to the Site

We may change, suspend, or discontinue any part of the site or the tools at any time — including changing the carriers or data reflected in comparisons, changing eligibility for access, or retiring a tool — with or without notice. We do not promise that the site will be available, uninterrupted, or error-free, and we have no obligation to keep any tool or saved scenario available, though personal information we hold is always handled as the Privacy Policy describes.

Disclaimer of Warranties

The site, the tools, and everything they produce are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Without limiting that, we do not warrant that the site will be secure, uninterrupted, or error-free, or that any content, calibration data, or tool output is accurate, complete, or current. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you; it applies to the fullest extent the law permits.

Limitation of Liability

To the fullest extent permitted by law, Wrightwood and its principals, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the site, the tools, or these Terms — whether the claim sounds in contract, tort, statute, or otherwise, and even if we were advised the damage was possible. In particular, we are not liable for decisions you or your organization make in reliance on tool output that these Terms told you to verify with the issuing carrier and your own advisors.

Our total aggregate liability arising out of or relating to the site and these Terms will not exceed the greater of one hundred dollars ($100) and the amount you paid us to use the site in the twelve months before the claim arose.

Nothing in these Terms limits liability that cannot be limited by law, and nothing here limits obligations either of us has under a separate written advisory or brokerage agreement. You acknowledge that free access to the site is provided in reliance on these limits, and that they are an essential part of the bargain between us.

Indemnification

You and the organization on whose behalf you use the site will defend and indemnify Wrightwood and its principals, employees, and agents against third-party claims, and the resulting losses and reasonable legal costs, to the extent arising from: census or other personal data you provided without the authorization, notice, or consent it required; your breach of these Terms; or your presentation of tool output as a quote, offer, or advice. We will notify you promptly of any such claim and may participate in its defense with our own counsel.

Termination

You may stop using the site at any time. You can delete your saved scenarios yourself from within the illustration tool, and you can ask us at the address below to close your account.

We may suspend or terminate your access to the tools at any time, as described under Accounts and Access. Upon any termination, the license we grant you ends; the license you grant us continues only as long as we hold your information under the Privacy Policy, which also governs what is retained and deleted. Sections of these Terms that by their nature should survive termination — including the disclaimers, limitation of liability, indemnification, intellectual property, and governing law sections — survive it.

Governing Law and Disputes

These Terms, and any dispute arising out of or relating to them or the site, are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Both of us consent to the exclusive jurisdiction and venue of the state and federal courts sitting in Travis County, Texas.

Changes to These Terms

We may revise these Terms as the site evolves. The revision date shown at the top of this page reflects the most recent change. If a change is material, we will say so on the site — or, for account holders, by email — before or when it takes effect. Continuing to use the site after a change takes effect means you accept the revised Terms; if you do not, stop using the site and, if you have an account, ask us to close it.

Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Wrightwood about the use of this site. They do not supersede any separate written agreement you have with us or the financial privacy notice delivered in connection with a client relationship. If part of these Terms is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms create no rights in anyone other than you and us. You consent to receive notices about the site and your account electronically, by email to your account address or by posting on the site.
